Environmental policy

We recognize the importance of environmental conservation, maintain a proactive stance toward environmental conservation, and strive to contribute to the development of a sustainable society through our business activities. We also expect our various stakeholders, including business partners, to understand and practice environmental conservation in accordance with this policy, and we aim to work together in harmony with the environment.

1)Compliance with environmental laws and regulations

In the course of our business activities, we will comply with environmental laws, regulations, international standards, and other agreements to which our company has entered.

2)Addressing environmental issues related to business activities

 【Climate change】

We will strive to conserve energy throughout our business activities, promote the use of renewable energy, and strive to reduce greenhouse gas emissions.

 【water resources】

We will strive to conserve water resources by reducing water usage and improving the efficiency of water resource use.

 【Biodiversity】

We will consider the impact of our business activities on biodiversity and strive to maintain natural ecosystems.

 【Pollution Prevention】

We strive to reduce and properly dispose of raw materials, chemical substances, waste, etc. In particular, with regard to  hazardous waste and pollutants, we strive to prevent air, water, and soil pollution and to prevent health damage to customers, employees, and business partners. We also thoroughly manage substances that may pollute the environment or violate safety standards.

 【Sustainable resource use】

We will work to improve resource and energy efficiency and reduce waste. We will also strive to achieve both economic growth and reduced environmental impact through our business activities.

3)Develop technologies and create businesses that reduce environmental impact

We will work to design products that promote sustainable consumption and strive to develop and promote technologies and create businesses that reduce the burden on the environment.

4)Establishment of an environmental management system

We will build and operate an environmentally friendly management system. We will regularly inspect and audit the implementation status and review our environmental actions to ensure continuous improvement and reduce our environmental impact.

Human Rights Policy

We will work to respect human rights through our business activities. We also expect our business partners and other stakeholders to understand and practice respect for human rights in accordance with our policies, and we aim to work together to promote respect for human rights.

1)Respect for human rights in business activities

In addition to not violating human rights in our business activities, we will strive to avoid contributing to human rights violations through business relationships such as our supply chain.

2)Respect for international human rights norms

We understand and respect, as a minimum, the human rights expressed in the International Bill of Human Rights, including the Universal Declaration of Human Rights, and the core labor standards of the International Labor Organization's (ILO) Declaration on Fundamental Principles and Rights at Work. We also support the Guiding Principles on Business and Human Rights and the 10 principles of the United Nations Global Compact, and conduct our business activities based on these principles. We also comply with the laws and regulations of the countries and regions in which we operate. When there is a conflict between internationally recognized human rights and the laws and regulations of the countries and regions in which we operate, we seek ways to respect internationally recognized human rights principles while complying with the laws and regulations.

3)Governance and Management System

Our Board of Directors will oversee compliance with this policy and its implementation.

4)Addressing human rights issues related to business activities

【Forced Labor and Human Trafficking】

We do not tolerate any form of forced labor, including slave labor, bonded labor, or prison labor, and we do not tolerate human trafficking.

【Child labor】

We do not tolerate child labor, adhere to the legal minimum working age, and do not employ anyone under the age of 18 in hazardous work.

【Discrimination】

We do not discriminate based on race, creed, sex, social status, religion, nationality, age, sexual orientation, gender identity, physical or mental disability, etc. We respect the individuality and diversity of each employee, and while maintaining fairness, we strive to create an environment in which diverse human resources can maximize their abilities.

【Abuse, corporal punishment, threats, and harassment】

We respect the human rights of each and every employee and do not tolerate inhumane acts such as abuse, corporal punishment, intimidation, or psychological, physical, or sexual harassment.

【Freedom of association and the right to collective bargaining】

We comply with laws and regulations related to freedom of association and collective bargaining, and respect employees' freedom of association and collective bargaining rights in labor-management relations.

【Working Hours and Wages】

We will appropriately manage employee working hours, holidays, vacations, and wages in accordance with applicable laws and regulations.

【Occupational Safety and Health】

We will comply with applicable laws and regulations and create a working environment where each employee can continue to work in good health, safety, and with peace of mind.

【Career Management】

We will establish policies for employee recruitment and training, as well as career management, and create a work environment in which employees can develop their skills through work.

【Indigenous rights】

We will conduct our business activities while respecting the land rights, culture, customs, and religions of indigenous peoples. We will also respect the rights of indigenous peoples to their traditional knowledge and genetic resources, and strive to avoid any actions that unilaterally exploit profits from them.

【Illegal employment, illegal labor, and undeclared labor】

We comply with all applicable regulations to prevent illegal, unlawful and undeclared employment.

【Migrant workers】

We provide migrant workers with the same qualifications as local workers. We treat foreign and domestic migrant workers fairly, providing them with transparent employment terms and favorable working and living conditions. We compensate migrant workers for any fees or other charges related to their employment. We do not employ migrant workers illegally, and we do not take away their identification documents or keep their money. We understand that workers employed through agents or contractors are also subject to these Codes of Conduct.

【Prevention of occupational accidents and illnesses】

We will adopt procedures to avoid danger as much as possible when it comes to physically demanding work, the handling of hazardous materials and chemicals, the use of production machinery, and other dangerous work, and will prevent occupational injuries and illnesses by educating employees on safety measures in advance and providing them with necessary protective clothing.

【Responding to disasters and accidents during emergencies】

To protect the safety of life and body, we will prepare emergency response measures based on the assumption of possible disasters and accidents, and will thoroughly inform everyone in the workplace.

【Relief measures】

We will accept complaints and reports from employees, protect employees from retaliation from those who have been reported, and take appropriate measures to remedy such complaints while respecting their privacy.

Corporate ethics policy

At Hidan, we believe that trust is the foundation of business, and that a necessary condition for maintaining trust is to fulfill our social responsibilities with proper corporate ethics in accordance with laws, regulations, and social norms, in other words, to pursue compliance. We strive to pursue compliance through our business activities in line with our Sustainability Policy and this Policy. We also expect our various stakeholders, including business partners, to understand and practice compliance in accordance with this Policy, and aim to work together to pursue compliance. *Compliance is defined as not only complying with laws and regulations, but also adhering to social norms such as public order and morals and the way people should live (ethics), and fulfilling our social responsibilities with proper corporate ethics.

1)Compliance with laws and regulations in business activities

In our business activities, we will comply with all laws and regulations of the countries and regions in which we operate. We will also strive to comply with international standards (*) and industry standards related to fair business practices, human rights, labor, and the environment. * These standards include the OECD Guidelines for Multinational Enterprises, the ILO Fundamental Conventions, the Ten Principles of the UN Global Compact, the United Nations Declaration on the Rights of Indigenous Peoples, ISO 26000 (guidance on social responsibility), and the UN Guiding Principles on Business and Human Rights.

2)Compliance with business activities

【Fair, transparent and free competition and trade】

We will comply with laws and regulations related to fair trade, such as the Antimonopoly Act and the Subcontract Act, and will not engage in any conduct that impedes fair, transparent, and free competition. Furthermore, we will not abuse our dominant bargaining position to cause disadvantage to our business partners.

【Bribery and corruption】

We will not pay or receive bribes, kickbacks, or illegal gratuities to government agencies, public officials, or business partners. We also will not make facilitation payments (small payments that are not based on applicable laws and regulations and are required to facilitate administrative procedures such as customs clearance and visa applications).

【Gift-giving and entertainment】

We will not offer or accept, directly or through an intermediary, money, gifts, entertainment, or other economic benefits that exceed socially acceptable levels with government agencies, public officials, or business partners with the intent of influencing the content of contracts or transactions.

【Conflict of interest】

We will comply with all applicable laws and regulations regarding conflicts of interest and strive to prevent situations that give rise to conflicts of interest in our business relationships with business partners.

【Insider trading】

We will comply with all applicable laws regarding insider trading and will refrain from buying or selling, directly or indirectly, the stocks or related financial instruments of publicly traded companies based on inside information.

【Antisocial forces】

We will take a resolute stance against anti-social forces that threaten the order and safety of civil society and will sever all ties with them.

【Money laundering】

Money laundering occurs when actions are taken to conceal the origin of money or property related to criminal activity. We take all appropriate measures to ensure that our operations are not used as a means of money laundering.

【Terrorist financing】

We take all appropriate measures to ensure that our operations are not used as a means of terrorist financing.

【Performance of a contract】

We will strictly adhere to contracts and rules related to purchasing transactions based on a high level of transparency and ethics.

【Trade restrictions and international sanctions】

We comply with standards regarding trade restrictions and international sanctions, including export control laws and regulations.

【Customs and Cargo Security】

We comply with applicable customs laws, including those regarding imports and prohibitions on transshipment of goods in importing countries.

【Intellectual property, confidential information, and personal information】

We will not infringe on the intellectual property rights of our business partners or third parties. We will also appropriately protect confidential information, such as insider information and trade secrets, handled by our company or business partners, as well as personal information of customers and employees, and will not use such information for improper purposes. We will comply with laws and regulations regarding the protection of personal information.

【Information Security】

We will strictly manage any confidential or personal information we learn in the course of our work and will not disclose it to third parties without permission. We will also take measures to protect against network risks and threats, such as computer viruses, and to prevent the spread of adverse effects. We will also be extremely careful when talking in public places or posting on social media.

Sustainable Procurement Policy

1) Basic Policy on Sustainable Procurement

We have established our "Procurement Policy" as the basic approach to our material procurement activities, and will continue to strive to foster a fair and impartial business culture based on relationships of trust with all suppliers, while complying with laws and social norms and fulfilling our social responsibilities in terms of human rights and the environment.

2)Building a good partnership

We aim to create new value together with our business partners (co-creation) based on strong relationships of trust, and to evolve and develop together.

3)Expectations for business partners

We ask our business partners, including suppliers, to understand and practice the following points. We also aim to work with our business partners to ensure that the intent of this policy is disseminated throughout the entire supply chain.

4)Supplier Code of Conduct Agreement

We ask our major suppliers to agree to the Hidan Supplier Code of Conduct regarding compliance with laws and regulations, appropriate working hours and wages, respect for human rights, freedom of association and the right to collective bargaining, information security, fair business practices, occupational health and safety, environmental conservation, requests to partner companies, and the implementation of upstream assessments.

5)CSR Checklist Implementation

We will check suppliers based on questions covering the following major categories: respect for international standards, respect for human rights, harmony with the environment, decarbonization, safety and security of products and services, and supplier code of conduct.

Conflict Minerals Procurement Policy

We are using the CMRT (Conflict Minerals Reporting Template) survey form published by the RMI (Responsible Minerals Initiative) to confirm the minerals used in our supply chain. At present, there are no cases of problematic minerals being used to fund armed groups.
